Article 1039 CCQ - The syndicate as a legal person

Article 1039 provides that, upon publication of the declaration of co-ownership, the co-owners together form a legal person: the syndicate. Its purpose is to preserve the immovable, to maintain and administer the common portions and to look after the common interests.

What it means for your syndicate

The syndicate exists as of right once the declaration is published; the co-owners do not create it separately. Like any legal person, it has a name, a patrimony and the capacity to sue and be sued.

It is the syndicate, not each co-owner individually, that takes out insurance, incurs common expenses and holds the mandatory funds. It acts through its board of directors and its meeting of co-owners.
